1. About these Terms
These Terms and Conditions (“Terms”) govern your access to and use of:
- www.wellhands.sg and www.JapaneseLanguageHub.com;
- the online Japanese-language courses offered under wellhands and JapaneseLanguageHub.com;
- course videos, PDF materials, MP3 files, exercises and other content;
- Zoom lessons and other live sessions;
- student communities; and
- related services provided by wellhands.
By purchasing, registering for, accessing or using a course or related service, you agree to these Terms and our Privacy Policy.
Please do not purchase or use the course if you do not agree to these Terms.

3. Eligibility
You must be at least 18 years old to purchase a course in your own name.
A person under 18 may participate only where:
- a parent or legal guardian has approved the purchase and participation;
- the parent or guardian accepts these Terms; and
- we have agreed to accept the student.
You confirm that the information you provide to us is complete and accurate.
4. Course structure
Our courses are primarily self-paced, video-based Japanese-language courses.
Depending on the course purchased, the course may include:
- pre-recorded video lessons;
- downloadable PDF materials;
- MP3 audio files;
- exercises or quizzes;
- teacher support;
- access to a student community; and
- one or more Zoom lessons for each chapter or course level.
The precise content and inclusions will be stated on the relevant course sales page.
A reference to a Zoom lesson does not mean that the entire course is delivered through live Zoom classes. Unless expressly stated otherwise, Zoom sessions supplement the self-paced video curriculum.
5. Course descriptions and learning outcomes
We make reasonable efforts to describe each course accurately.
Course outlines, approximate learning hours and descriptions of language levels are provided as guidance. Individual progress depends on factors such as prior knowledge, study frequency, practice, attendance and personal ability.
Completion of a course does not guarantee:
- a particular examination result;
- a pass in the Japanese-Language Proficiency Test;
- admission to another course or institution;
- employment;
- fluency within a particular period; or
- recognition by an employer, educational institution or government authority.
Statements such as “JLPT N4 level” describe the intended grammar or learning coverage and are not a guarantee that every student will pass the JLPT N4 examination.
6. Registration and accounts
You may be required to create an account.
You must:
- provide accurate registration information;
- keep your password confidential;
- use the account only for yourself;
- prevent unauthorised access;
- notify us promptly of suspected unauthorised use; and
- keep your email address and contact details updated.
Each purchase provides access to one individual student unless a family, group or corporate licence is expressly purchased.
You must not share your login information or allow another person to access paid content through your account.
7. Prices and payment
Course prices will be displayed in Singapore dollars unless otherwise stated.
Before payment, we will display:
- the course selected;
- the price;
- applicable taxes or mandatory charges;
- material access conditions; and
- any recurring payment terms, where applicable.
Payment must be made using one of the payment methods offered at checkout.
Your registration is confirmed only when payment has been successfully received or otherwise approved by us.
If we are GST-registered, publicly displayed Singapore prices will include applicable GST unless clearly permitted otherwise by law.
You are responsible for any foreign-currency conversion charges, bank fees or card-provider charges imposed independently by your provider.
8. Promotions and discounts
Promotional offers may be subject to:
- eligibility conditions;
- stated validity periods;
- limited availability;
- restrictions on combination with other offers; and
- course-specific conditions.
Discounts will be calculated using a genuine reference price or another clearly explained basis.
Unless otherwise stated, promotional codes have no cash value and cannot be exchanged for cash.
9. Course access period
Your access period will be stated on the course sales page or order confirmation.
Unless otherwise stated, access is provided for:
[36 MONTHS FROM THE DATE OF PURCHASE].
“Lifetime access” will be used only where expressly offered. Where lifetime access is offered, it means access for as long as we continue to operate and support that course on the relevant platform, rather than the lifetime of the individual student.
We may replace a course platform or delivery system. Where reasonably practicable, we will provide instructions for continued access.
10. Zoom lessons
Where Zoom lessons are included:
- lessons must be booked through the Student’s page for the eLearning course students;
- available times are subject to the teacher’s schedule;
- bookings must be made before the course or booking entitlement expires;
- the student is responsible for joining on time with a suitable device and internet connection;
- lesson duration will not normally be extended because the student joins late; and
- unused sessions expire at the end of the applicable booking or access period unless otherwise agreed.
A student may reschedule a Zoom lesson by providing at least:
24 HOURS’ NOTICE.
Where insufficient notice is provided, or the student does not attend, the lesson may be treated as used except in an emergency or where we agree otherwise.
If we cancel a lesson, we will offer a replacement lesson, alternative time, course credit or appropriate refund for the affected lesson.
Zoom lessons must not be recorded by students without our prior written consent.
11. Course materials and intellectual property
The website, course videos, teaching methods, lesson scripts, graphics, PDF materials, MP3 files, exercises, quizzes, branding and other course content are owned by or licensed to us and are protected by intellectual-property laws.
When you purchase a course, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the course materials for your own private learning.
You must not, without our prior written permission:
- copy or reproduce course materials except for reasonable personal study;
- share or distribute course files;
- upload materials to another website, drive or platform;
- sell, rent, sublicense or commercially exploit course content;
- share account access;
- publicly screen or teach from our videos;
- translate or create derivative commercial materials;
- remove copyright, trade-mark or ownership notices;
- record Zoom lessons;
- use automated systems to download or scrape content; or
- use course content to train an artificial-intelligence system or commercial database.
Permitted downloads remain subject to these Terms after course access ends.
12. Student community and acceptable conduct
When participating in a community, lesson or discussion, you must:
- communicate respectfully;
- avoid harassment, discrimination or threatening behaviour;
- respect the privacy of other students;
- avoid publishing another person’s personal information;
- avoid spam and unauthorised advertising;
- avoid unlawful, defamatory or infringing content;
- avoid distributing course materials; and
- follow reasonable instructions from the teacher or moderator.
We may remove content or suspend community access where reasonably necessary to protect students, our services or our rights.
13. Student submissions
You retain ownership of original content you submit, such as written exercises or community posts.
You grant us a limited licence to access, copy and use submissions to:
- provide feedback;
- administer the course;
- operate the student community;
- provide technical support; and
- improve our teaching and services using appropriately anonymised or aggregated information where practicable.
We will not publish an identifiable exercise, testimonial, photograph or video for external promotional purposes without appropriate permission.
14. Testimonials
If you voluntarily agree to provide a testimonial, photograph or video, the terms of its use will be explained separately.
Participation is optional and will not affect your course access.
You may contact us regarding future use of your testimonial. Withdrawal will apply to reasonably practicable future use but may not always allow us to recall materials already printed, distributed or published by third parties.
15. Technical requirements
You are responsible for having:
- a compatible device;
- a current web browser;
- a stable internet connection;
- software required to view videos and PDFs;
- an email account; and
- Zoom or another specified application for live lessons.
We are not responsible for problems caused solely by your device, internet provider, browser settings or unsupported software.
Please contact us if a technical problem appears to arise from our website or course platform. We will make reasonable efforts to investigate and provide a solution.
16. Website and service availability
We aim to keep the website and course platform reasonably available but do not guarantee uninterrupted or error-free operation.
Access may occasionally be interrupted for:
- maintenance;
- security updates;
- platform changes;
- service-provider outages;
- technical failures; or
- events outside our reasonable control.
Where a material interruption is within our control, we will take reasonable steps to restore access or provide an appropriate extension or alternative.
17. Refunds and cancellations
Purchases are governed by the Refund and Cancellation Policy published on our website and incorporated into these Terms.
Please review that policy before purchasing.
Nothing in these Terms limits any mandatory consumer right or remedy that cannot lawfully be excluded.
18. Suspension and termination
We may suspend or terminate access where there are reasonable grounds to believe that you have:
- shared an account;
- copied or distributed course materials;
- attempted unauthorised access;
- engaged in fraud or chargeback abuse;
- harassed another participant;
- seriously or repeatedly breached these Terms; or
- used the course or website unlawfully.
Where appropriate, we will give you notice and an opportunity to address the issue before termination. Immediate action may be taken where necessary for security, safety, fraud prevention or the protection of other users.
Termination for a serious breach may result in loss of access without refund, to the extent permitted by law.
19. Third-party services
We may use third-party services for:
- payment processing;
- website hosting;
- course delivery;
- video hosting;
- Zoom lessons;
- appointment scheduling;
- email delivery;
- analytics; and
- community functions.
Your use of a third-party platform may also be governed by that provider’s terms and privacy policy.
We are not responsible for changes or failures within a third-party service that are outside our reasonable control, but we will take reasonable steps to provide an alternative where a failure materially prevents us from delivering a purchased course.
20. Educational disclaimer
Our courses provide language education and general learning support.
Information about studying, examinations, travel, employment or living in Japan is general information and should not be treated as legal, immigration, employment, financial or professional advice.
21. Liability
We will provide the course and related services with reasonable care and skill.
To the maximum extent permitted by law:
- we are not responsible for indirect or consequential losses that were not reasonably foreseeable when the contract was formed;
- we are not responsible for losses caused by your breach of these Terms, misuse of materials or failure to meet technical requirements; and
- our total liability arising from a particular course purchase will not exceed the amount you paid for that course.
Nothing in these Terms excludes or restricts liability that cannot legally be excluded or restricted, including liability arising from fraud or fraudulent misrepresentation.
22. Events outside our reasonable control
We will not be responsible for delay or failure caused by events outside our reasonable control, including widespread internet outages, platform failures, natural disasters, government restrictions, serious illness, epidemics, industrial action or interruption of essential services.
We will take reasonable steps to reduce disruption and communicate material changes.
23. Changes to courses
We may update videos, exercises, materials, teachers, platforms or lesson arrangements to:
- improve course quality;
- correct errors;
- reflect language or examination updates;
- maintain security; or
- comply with legal or technical requirements.
Changes will not materially reduce the main learning content purchased without an appropriate alternative, extension, credit or refund being offered.
24. Changes to these Terms
We may update these Terms from time to time.
Changes will normally apply prospectively. Where a change materially affects an existing paid course, we will provide reasonable notice and will not remove material contractual rights without an appropriate legal or operational basis.

26. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Singapore.
The parties will first attempt to resolve a dispute in good faith. If the dispute cannot be resolved, it will be subject to the jurisdiction of the Singapore courts, unless applicable consumer law requires otherwise.
27. General provisions
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.
A delay in enforcing a right does not constitute a waiver of that right.
You may not transfer your course purchase or rights under these Terms without our written consent. We may transfer our rights and obligations as part of a genuine business restructuring or sale, provided that your material contractual rights are not reduced.
These Terms, the Privacy Policy, the Refund and Cancellation Policy, the relevant course description and your order confirmation constitute the agreement relating to your purchase.
